Help me structure a legal research memo before I write it.

Produce:
1. A recommended memo structure with headings, in the order
   a reader needs them
2. A one-line statement of what each section must accomplish
3. Where the short answer goes, and a placeholder for it I
   will complete after research
4. For the discussion section: the order to take the issues,
   threshold issues first, and why
5. For each issue: the sub-questions to address and the
   facts that bear on each
6. Where authority will be needed, marked [CITE] with a note
   on what kind of authority would support the point
7. The counter-analysis each issue requires

Constraints:
- Do NOT answer the legal questions or state what the law is
- Do NOT cite or name any authority
- This is a skeleton I will research and complete myself
